10/31/2008 Leaf River Energy Center LLC Receives FERC’s Certificate of Necessity for Natural Gas Storage Facility

Westport CT/ October 31, 2008 / Leaf River Energy Center LLC (Leaf River), a wholly owned subsidiary of Westport, CT based NGS Energy LP announced today the Federal Energy Regulatory Commission (FERC) has issued a Certificate of Public Convenience and Necessity authorizing Leaf River to develop and operate a salt dome natural gas storage facility and the associated pipeline infrastructure.

Leaf River is expecting to file for Authorization to Commence Construction with the FERC next week and start building the facility immediately after that authorization is granted.

The storage facility will consist of caverns that will be created in two salt domes situated on over 400 acres in Smith and Jasper Counties, Mississippi and when completed, will provide up to 32 Bcf of working gas capacity. The 43 mile pipeline header system associated with the facility will stretch between Smith, Jasper and Clarke counties in Mississippi and interconnect with Southern Natural, Gulf South, Transco, Tennessee, Destin and the proposed Kinder Morgan Express Pipelines.

This highly deliverable and flexible storage facility will be able to inject up to 1 Bcf/d and withdraw up to 2.5 Bcf/d across the facility and is expected to be in service by the summer of 2010.

October 1, 2008--Tres Palacios Gas Storage LLC (Tres Palacios), a wholly owned subsidiary of NGS Energy, L.P., is pleased to announce that on October 1^st, the gas storage facility has started commercial operation. The project is in operations exactly one year from receipt of the FERC authorization to commence construction and has been completed on budget.

The highly interconnected and flexible FERC regulated facility is located in Matagorda County, Texas and has started allowing anchor shippers to inject gas into its first cavern which has approximately 12 BCF of storage capacity. Two additional caverns will come on line in 2009/2010 and when all three caverns are placed into service, the facility will have the capacity of approximately 36 BCF and the capability to inject up to 1 BCF/d and withdrawal up to 2.5 BCF/d.

Customers are also able to start utilizing other services available in Tres Palacios’ FERC Tariff such as Firm and Interruptible Park and Loans, No Notice, Balancing and Wheeling services.

1 BCF of Firm Storage Service (FSS) at the new high performance salt dome storage facility located in Matagorda County, Texas will be awarded to credit worthy bidders at or above the set minimum bidding requirements. The FSS is available to begin on April 1, 2009.

7/17/08 Tres Palacios Gas Storage Passes Critical Milestone in Project’s Development

Westport CT/ July 17, 2008/ Tres Palacios Gas Storage LLC, a wholly owned subsidiary of Westport, CT based NGS Energy LP announced today the successful completion of Mechanical Integrity Testing (MIT) on its first of three natural gas storage caverns in Matagorda County, Texas.

Facility construction has been underway since November 2007 when the Project received the necessary regulatory approvals from the Federal Energy Regulatory Commission. The Mechanical Integrity Test is a critical milestone for the project and is the penultimate step prior to placing the cavern into operation. The final step, which the company will seek this week, requires the FERC Authorization to Place Facilities in Service. This final approval, expected by the end of July, will enable Tres Palacios to begin cavern dewatering immediately upon authorization and commence firm storage operations on September 1, 2008.

WESTPORT, CT April 30, 2008-- Gulf Coast Connector LLC, a wholly owned subsidiary of NGS Energy LP announced today the extension of an ongoing open season for service offerings at the company’s proposed natural gas storage and transportation hub in northeastern Louisiana.

On March 20, 2008 the company announced the start of a non-binding open season for up to 16 Bcf of storage capacity as well as firm transportation and wheeling services independent of storage to last from March 27 to May 9, 2008. Jan 24 - Moody's Investors Service assigned a B1 corporate family rating (CFR) to Tres Palacios Gas Storage, LLC (TGPS) and B1 ratings to its proposed $100 million senior secured term loan, $285 million senior secured construction loan and $50 million senior secured revolving loan. The outlook is stable. The ratings are subject to a review of the final executed documents.

Pete Speer, Moody's Vice-President/Senior Analyst commented, "The B1 rating for Tres Palacios reflects the project's relatively advanced planning and significant proportion of fixed contracted costs, tempered by the inherent uncertainties of project execution and the potential for customer contract cancellations due to delays in achieving committed operational start dates."

With $107 million of first-in cash equity, $40 million projected cash flow and approximately $390 million of senior secured bank borrowings, TGPS will fund the conversion to natural gas storage of three existing salt dome caverns located in Matagorda County, Texas. The first cavern is expected to commence operations in July 2008, with the second cavern completed in April 2009 and the third finished in April 2010. The three caverns are expected to have 36.5 Bcf of working gas capacity and are FERC permitted. In addition to other factors, the ratings rely on the following items being completed as a condition to closing of the bank facilities: all interconnect agreements and 95% of right of way agreements completed; $30 million of funded contingent equity; and the finalization of a leasehold mortgage and lessor consents regarding the critical long-term lease agreement for the land and underground caverns.

The B1 CFR is supported by the extent of project design and engineering that has been completed, the proportion of the project's budgeted costs that are fixed, and the shorter time period to commencement of operations relative to other natural gas storage projects rated by Moody's. TGPS has also obtained fee-based contract commitments with predominantly investment grade customers and will have nine interconnections with interstate and intrastate pipelines providing access to its primary market in Texas and also to major demand centers in the Northeast, Mid-Atlantic, Midwest and Florida. Importantly, the project entails the conversion of existing salt dome caverns as opposed to the creation of new caverns, which reduces the timing and cost risks related to the creation of leaching plants, disposal wells and other facilities necessary to conduct leaching activities.

However, Moody's notes that the reduced timing and cost uncertainties gained from the conversion of existing caverns are partially offset by the substantial long-term lease obligation for the three caverns. Other storage projects have directly incurred the capital costs of land acquisition and cavern creation and funded them with bank borrowings, whereas TGPS has funded these costs through a lease obligation with the existing land and cavern owner. This lease obligation makes TGPS' capital structure and collateral package more complex than other natural gas storage projects rated by Moody's. The independent engineering report included observations regarding the size and proximity of the three caverns to one another and to other third party caverns in the Markham salt dome that result in higher base gas requirements and additional operational complexities for TGPS.

The stable outlook is based on the project materially achieving its timetable for commencing operations in the first cavern. Any significant delays in the start date for cavern one could result in customers deferring the start dates for their contracted services to the second quarter of 2009, which would meaningfully reduce the initial cash flows generated by that cavern and could result in a negative outlook. If the project experiences substantial delays in the project timing that result in customers exercising their cancellation rights and/or significant cost overruns, this could result in a negative outlook or ratings downgrade. A longer term risk to the rating is the potential for overbuilding of natural gas storage which could outpace future demand and result in lower rates and returns. (New York Ratings Team)

11/14/07 NGS Energy Acquires New Home Natural Gas Storage Project from Southern Natural Gas Company

WESTPORT, Conn., Nov 14 /PRNewswire/ -- Independent natural gas storage developer, NGS Energy LP, the parent company of Leaf River Energy Center, LLC, announced today it will acquire the New Home Natural Gas Storage Project from Southern Natural Gas Company (SNG), a wholly owned subsidiary of El Paso Corporation, increasing NGS' access to the New Home dome for natural gas storage development.

The acquisition will advance NGS' opportunity for gas storage operations on the New Home dome and provide developmental efficiencies, enhanced risk management, and economies of scale.

As part of the sale of its New Home assets, SNG will also sign a firm storage commitment to store natural gas in the second of Leaf River's four underground salt caverns, beginning in 2010.

Leaf River Energy Center filed its certificate application with the Federal Energy Regulatory Commission (FERC) on October 11, 2007. In its filing, Leaf River requested authorization from the FERC to charge market- based rates and build a 43-mile, 24-inch pipeline header system. The bi- directional, looped header system will traverse Smith, Jasper, and Clarke Counties in Mississippi and have interconnections with the Kinder Morgan Midcontinent Express pipeline, Gulf South Southeast Expansion, Tennessee Gas Pipeline (Zone 1), Transcontinental Pipeline (Zone 4) and Destin (Shubuta), in addition to an interconnection with SNG.
